Herein are stipulated the Terms and Conditions ("Terms") governing access to and utilization of the Vihas Furniture website, inclusive of all subdomains, mobile versions, and any associated applications (collectively, the "Website"). The Website is operated by Vihas Interiors, hereinafter referred to as the "Operator."
A thorough review of these Terms is requisite prior to any utilization of the Website. This document establishes a legally binding covenant between the individual or entity utilizing the Website (hereinafter "User") and the Operator.
Access, navigation, account registration, or the consummation of a purchase upon the Website shall be deemed to constitute the User's unreserved acknowledgment, understanding, and acceptance of these Terms and the associated Privacy Policy, which is expressly incorporated herein by reference. In the event of disagreement with any part of these Terms, any and all access to or utilization of the Website is strictly prohibited.
1. Eligibility and Accounts
Eligibility: Utilization of this Website is restricted to individuals who have attained the age of eighteen (18) years and possess the full legal capacity to enter into binding contracts under the extant laws of India. Utilization of the Website constitutes a direct representation and warranty by the User of adherence to said age and capacity requirements. In the event that the Website is utilized on behalf of a corporate or other legal entity, the individual User represents and warrants possession of the requisite authority to bind said entity to these Terms. The Operator reserves the unqualified right to refuse service or terminate accounts, at its sole discretion, for any User believed to be under the age of eighteen (18) or to have provided falsified eligibility information.
Account Creation and Accuracy: Upon the creation of an account, it is incumbent upon the User to provide information that is accurate, complete, and current at all times. This information is fundamentally necessary for billing, shipping, and the transmission of important notices. Failure to adhere to this stipulation constitutes a material breach of the Terms, which may precipitate the immediate termination of the User's account.
Account Security: The User bears sole and exclusive responsibility for safeguarding the password utilized for Website access and for any and all activities or actions that transpire under the User's account, irrespective of authorization. The User covenants not to disclose said password to any third party. The utilization of another individual's account or password at any time is expressly forbidden. The Operator must be notified immediately upon the User becoming aware of any breach of security or unauthorized account utilization. The User shall be held liable for any and all losses incurred by the Operator or any other party resultant from unauthorized use of the account or password arising from the User's failure to maintain the security of said account information.
Social Login: An option may be provided to register via a third-party service (e.g., Google Social Login). This functionality is provided as an optional convenience. Utilization of this option constitutes authorization for the Operator to access, utilize, and store specific account information from said service, as permitted by the third-party provider and as delineated in the Operator's Privacy Policy. The User's relationship with any such third-party provider is governed exclusively by the User's agreement with that provider.
2. Purchases, Payment, and Products
Product Information: The Operator endeavors to ensure all information on the Website, including but not limited to product descriptions, photographs, and pricing, is accurate and complete. Notwithstanding this, no warranty is made that said content is entirely accurate, reliable, current, or free from error.
- Colors & Materials: Product imagery is provided for illustrative purposes exclusively. No guarantee is provided that a User's computer or mobile device display will accurately render any color. Products derived from natural materials, such as wood, shall possess inherent variations in grain, texture, and color, which are not to be construed as defects.
- Dimensions: All stated measurements and dimensions are approximate. Reasonable efforts are made to ensure accuracy; however, a slight tolerance is to be expected.
- Corrections: The Operator reserves the unqualified right to correct any errors, inaccuracies, or omissions, and to modify or update information at any time without prior notification (inclusive of post-order submission).
Purchases and Payment: In the event a User elects to purchase a product ("Purchase"), said User will be required to supply information pertinent to the Purchase, including, without limitation, credit/debit card numbers, card expiration dates, billing addresses, and shipping information.
- Authorization: The User represents and warrants that: (i) the User possesses the unencumbered legal right to utilize any payment method(s) in connection with any Purchase; and (ii) the information supplied is true, correct, and complete. The submission of such information authorizes the Operator and its designated third-party payment processors (including Razorpay and Cashfree) to charge the selected payment method for the total amount of the order.
- Taxes: Payments constitute one-time charges for the products purchased. All prices are stated exclusive of applicable taxes (such as GST), which are the sole responsibility of the User and will be calculated and appended to the total at checkout.
Order Acceptance and Cancellation:
- Order Confirmation: Subsequent to order placement, an email acknowledging receipt shall be issued. This email is a confirmation of receipt exclusively and does not constitute acceptance of the order.
- Acceptance: Acceptance of the User's order shall be deemed to occur upon the dispatch of the products for delivery. A dispatch confirmation email shall be transmitted at said time.
- Right to Refuse: The Operator reserves the right, in its sole discretion, to refuse or cancel any order at any time for reasons including, but not limited to: product availability, limitations on purchase quantities, manifest errors in product or pricing information, inability to effectuate shipping to the provided address, issues identified by credit and fraud avoidance departments, or suspicions of fraudulent, unauthorized, or illegal activity. No liability shall be incurred by the Operator to the User or any third party for the refusal, cancellation, or limitation of an order.
Shipping and Delivery: Title to, and risk of loss for, all products shall pass to the User upon the Operator's delivery to the designated shipping carrier. Estimated delivery times are provided as good-faith estimates and are not guaranteed. Delays may transpire due to factors beyond the Operator's reasonable control, such as carrier delays, force majeure events, public holidays, or stock issues. The User bears sole responsibility for ensuring the delivery address is correct and accessible. In the event of a missed or refused delivery by the User, the User may be held responsible for any resultant re-delivery fees, storage charges, or return shipping costs.
Returns, Refunds, and Claims:
The following provisions govern the process by which a User may initiate a return, seek a refund, or lodge a formal claim subsequent to the acceptance and receipt of a Purchase:
- Governing Policy: All requests for the return of products, the issuance of monetary refunds, or the lodging of claims pertaining to damage, defect, or discrepancy shall be adjudicated in accordance with the Operator's separate, fully detailed Return and Refund Policy, the terms of which are incorporated herein by reference. The User is obligated to review said separate policy prior to the consummation of any Purchase.
- Time Limitation for Claims and Returns: Any claim alleging that a product delivered is damaged, defective, or materially inconsistent with the product description, or any request for a return (cancellation) of the product, must be formally submitted to the Operator's designated customer support entity within a period of seven (7) days following the date of delivery. Claims and return requests submitted beyond this prescribed time limitation shall be deemed waived and shall not warrant consideration.
- Condition Precedent: The initiation of a return or claim is subject to the condition precedent that the product must be returned in its original condition, packaging, and accompanying all relevant documentation, unless the return is predicated upon a non-conforming or defective condition explicitly accepted by the Operator.
- Refund Methodology: Should a claim or return be accepted as valid by the Operator, any monetary refund issued shall be processed via the original payment method utilized for the Purchase. The time required for the actual crediting of funds to the User's account may vary based upon the policies of the User’s financial institution or card issuer, a factor which remains beyond the Operator's control.
3. Intellectual Property Rights
The Website, inclusive of its entire contents, features, and functionality—including but not limited to all information, software, code, text, displays, graphics, photographs, video, and audio, as well as the design, selection, "look and feel," and arrangement thereof—are the exclusive property of the Operator, its licensors, or other providers of such material. These are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
The "Vihas Furniture" name, logo, and all associated names, logos, product and service names, designs, and slogans constitute trademarks of the Operator. Utilization of such marks without the prior written permission of the Operator is strictly prohibited.
A limited, non-exclusive, non-transferable, and revocable license is hereby granted to the User to access and utilize the Website strictly for personal, non-commercial purposes in accordance with these Terms. The User is expressly prohibited from:
- Reproducing, distributing, modifying, creating derivative works of, publicly displaying, publicly performing, republishing, downloading, storing, or transmitting any of the material resident on the Website.
- Utilizing any content for any commercial purpose, for any public display (commercial or non-commercial), or on any other website (which includes, without limitation, "scraping," "framing," or "mirroring").
- Utilizing any illustrations, photographs, video, or audio sequences or any graphics separately from the accompanying text.
- Deleting or altering any copyright, trademark, or other proprietary rights notices from copies of materials.
Any unauthorized utilization shall automatically terminate this license and may constitute a violation of applicable laws.
4. Acceptable Use and Prohibited Conduct
The User covenants to utilize the Website exclusively for lawful purposes and in strict accordance with these Terms. Utilization of the Website is prohibited for any of the following:
- In any manner that violates any applicable local, national, or international law or regulation (including, without limitation, any laws pertaining to the export of data or software to and from India).
- For the purpose of transmitting, or procuring the sending of, any unsolicited or unauthorized advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other form of similar solicitation.
- To impersonate or attempt to impersonate the Operator, an employee of the Operator, another User, or any other person or entity (including, without limitation, by the utilization of email addresses associated with any of the foregoing).
- To engage in any other conduct that restricts or inhibits any individual's use or enjoyment of the Website, or which, as determined solely by the Operator, may harm the Operator or Users of the Website, or expose them to liability.
- To post, upload, or transmit any content in public areas (such as product reviews) that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
Additionally, the User agrees not to:
- Employ any robot, spider, scraper, or other automatic device, process, or means to access the Website for any purpose, including the monitoring or copying of any material.
- Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to, interfere with, with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.
- Attempt to circumvent any security or authentication measures implemented by the Website.
- Utilize the Website to construct a competitive product or service.
- Otherwise attempt to interfere with the proper functioning of the Website.
5. Third-Party Links
The Website may contain hyperlinks to third-party web sites or services not owned or controlled by the Operator (e.g., social media icons, payment gateways). These hyperlinks are provided for convenience only.
The Operator exercises no control over, does not endorse, and assumes no responsibility or liability for, the content, privacy policies, or practices of any third-party web sites or services. The Operator does not vet or warrant the offerings, availability, or accuracy of any of these entities. The User acknowledges and agrees that the Operator shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such web sites or services.
Access to any such third-party sites is undertaken at the User's sole risk. The User is strongly advised to peruse the terms and conditions and privacy policies of any third-party web sites or services visited.
6. Disclaimer of Warranties & Limitation of Liability
Disclaimer of Warranties: The Website is provided on an "AS IS" and "AS AVAILABLE" basis, devoid of any warranties of any kind, either express or implied. Neither the Operator nor any person associated with the Operator makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Website.
To the fullest extent permissible by law, the Operator hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for a particular purpose. This disclaimer does not affect any warranties for products which may be provided separately.
The Operator does not warrant that the Website, its content, or any services or items obtained through the Website will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the site or the server making it available are free of viruses or other harmful components, or that the Website will otherwise meet the User's needs or expectations.
Limitation of Liability: To the fullest extent permitted by law, in no event shall the Operator, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
This limitation applies as resulting from (i) the User's access to, use of, or inability to access or use the Website; (ii) any conduct or content of any third party on the Website (including defamatory, offensive, or illegal conduct); (iii) any content obtained from the Website; and (iv) unauthorized access, use, or alteration of the User's transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not the Operator has been advised of the possibility of such damages.
The Operator's maximum aggregate liability to the User for any and all claims arising from the utilization of the Website (other than for product purchases) shall not exceed the greater of (a) the amount, if any, paid by the User to the Operator in the six (6) months prior to the event giving rise to the liability, or (b) five thousand Indian Rupees (₹5,000).
The Operator's liability for any product purchased through the Website is strictly limited to the purchase price of that specific product. Certain jurisdictions do not allow the exclusion or limitation of certain damages; consequently, some of the above limitations may not apply, but they shall be enforced to the maximum extent permitted by law.
7. Indemnification
The User agrees to defend, indemnify, and hold harmless the Operator, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- The User's violation of these Terms;
- The User's utilization of the Website, including, but not limited to, any use of the Website's content, services, and products other than as expressly authorized in these Terms;
- Any content submitted, posted, or transmitted by the User through the Website; or
- The User's violation of any rights of another person or entity.
The Operator reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by the User, in which event the User covenants to cooperate fully with the Operator in asserting any available defenses.
8. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
The parties covenant to first attempt the resolution of any dispute, claim, or controversy arising out of or relating to these Terms by good faith negotiation for a period of thirty (30) days.
Should the parties fail to resolve the dispute via negotiation, it is irrevocably agreed that any legal suit, action, or proceeding arising out of, or related to, these Terms or the Website shall be instituted exclusively in the competent courts located in Salem, Tamil Nadu, India. The User hereby waives any and all objections to the exercise of jurisdiction over the User by such courts and to venue in such courts.
9. Termination
The Operator may terminate or suspend the User's account and bar access to the Website immediately, without prior notice or liability, at its sole discretion, for any reason whatsoever, including without limitation a breach of these Terms.
Termination or suspension may also occur upon:
- A request by law enforcement or other government agencies;
- A request by the User (self-initiated account deletion);
- Discontinuance or material modification of the Website;
- Unexpected technical or security issues or problems; or
- The User's engagement in fraudulent or illegal activities.
In the event the User wishes to terminate the account, such termination may be effected by discontinuing use of the Website or by contacting the Operator to request deletion.
All provisions of the Terms which by their nature should survive termination shall so survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Upon termination, the User's right to utilize the Website shall immediately cease.
10. Changes to Terms
The Operator reserves the right, at its sole discretion, to modify or replace these Terms at any time. In the event of a material revision (as determined solely by the Operator), reasonable efforts will be made to provide a minimum of thirty (30) days' notice prior to the new terms taking effect. This notice may be provided by posting on the Website or by sending an email to the address associated with the User's account.
By continuing to access or use the Website subsequent to those revisions becoming effective, the User agrees to be bound by the revised terms. If the User does not agree to the new terms, in whole or in part, all use of the Website must be discontinued immediately. It is the User's sole responsibility to review this page periodically for updates.
11. General Provisions
Severability: Should any provision of these Terms be held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary. The invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely effectuates the intent of the original provision, and the remaining provisions of the Terms will continue in full force and effect.
Waiver: No waiver by the Operator of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of the Operator to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
Entire Agreement: These Terms, in conjunction with the Privacy Policy, constitute the sole and entire agreement between the User and the Operator regarding the Website. They supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, pertaining to the Website.
Assignment: The User is prohibited from assigning or transferring these Terms, by operation of law or otherwise, without the prior written consent of the Operator. Any attempt by the User to assign or transfer these Terms, without such consent, will be null and void. The Operator may freely assign or transfer these Terms without restriction.
Notices: Notices to the User, including those pertaining to modifications of the Terms, may be provided via email, regular mail, or postings on the Website. Notices shall be deemed given when sent or posted.
